Who is Corporate Minute Services and have you received a letter from them??
It has come to our attention that clients may be receiving misleading solicitations from “compliance companies” who demand payment in order to provide corporate minutes.
Please be aware that although corporations are required to keep minutes of meetings or consents to action, there is no filing requirement. The corporation should keep any minutes or consents with the rest of their documents.
If you need assistance with setting up your records or keeping them in order, please contact an attorney. Companies that send out notices threatening loss of liability protection are unlikely to provide the documents you actually need, if they provide documents at all.
In addition, if you receive other offers from companies regarding filings with the Secretary of State, please be aware that you do not need to go through a private party in order to file documents with the Secretary of State.
If you have any questions about any document you receive that may be a scam, please ask an attorney before paying the fee.
If you have received a scam, the Secretary of State does allow a complaint to be filed against the company. Please keep all the documents, including inner and outer envelopes, and send along with a complaint form, which can be found here, to the Attorney General’s Office.
